Roles of the Board of Directors, Committees, and Residents
(a.k.a. Who Does What)
The Role of the Board:
The membership elects the Board and the Board elects the Officers. The directors and officers of an association have a very specific responsibility to the members, known as Fiduciary Duty. This duty requires all officers and directors to be well-informed, to make reasonable business judgments, and to follow the requirements of the law when making decisions. The business judgment rule means that directors and officers must exercise good faith in making the same decisions that an ordinary, prudent person would exercise under similar circumstances, and in a manner he or she reasonably believes to be in the best interests of the association.
The directors and officers must endeavor to protect the rights and interests of their neighbors, and to protect them from foreseeable risks and liabilities. Responsible Board members should do what they think is best for the community, rather than cater to the requests of individual unit owners.
The Board President presides over all meetings.
Committees:
Committees are appointed by the Board of Directors for various purposes. The committees meet as needed, discuss the issues, and report their recommendations to the Board for the consideration.
Residents:
As owners in a Deed Restricted Community, you are responsible for abiding by all the recorded documents of the Association (i.e. By-Laws and the Declaration of Covenants, Conditions and Restrictions).
If you rent your property, you are still responsible. Please inform the Board that you are renting your property and advise your tenants of the community rules.
